  • Public Company Securities Compliance. We have a strong history of guiding our clients through the intricacies of dealing with the Securities and Exchange Commission and the various stock exchanges, including Nasdaq. We have advised many publicly-held companies about filings and proxy statements under the Securities Exchange Act of 1934, press releases and other public disclosures, insider trading reporting, and more complicated, transaction-based filings with the Securities Exchange Commission in connection with mergers, acquisitions, financings and other transactions.
  • Corporate Finance. Maslon's Business & Securities Group lawyers represent businesses ranging from emerging start-ups looking for seed capital to billion-dollar corporations conducting their initial or follow-on public offering. Maslon's securities lawyers have extensive experience guiding clients through private placements, venture capital financings and public offerings. Our lawyers have worked on financings with all of the region's largest investment banking firms and several national underwriters.
  • Corporate Governance and Director Services. We advise a wide range of private and publicly held clients, including tax-exempt entities, with respect to their employee benefit plans and executive compensation and employment arrangements. For public companies, these areas have recently been under special scrutiny in response to well-publicized corporate scandals. The Sarbanes-Oxley Act and related rules of Nasdaq and the New York Stock Exchange affect these plans and agreements. Maslon's Business & Securities lawyers continually monitor new developments in tax law and compensation trends. They work with a company's other advisors to craft plans and agreements that will accomplish the company's business objectives, ranging from simple, standardized 401(k) prototypes to custom defined benefit plans providing extra benefits for key employees.
